JADE ANN BYRNE CONTENT CREATORS COLLABERATION CONFIDENTIALITY AGREEMENT, 2257 COMPLIANCE, RELEASE OF LIKENESS & CONFIRMATION OF DISCRETION

This Agreement is made and entered into as of the date of signature (“Effective Date”) by and between:

Jade Ann Byrne d/b/a eGirl4Rent (“Company” or “Producer”), and the undersigned individual (“Participant,” “Talent,” or “Recipient”).

By signing below, Participant agrees to the following legally binding terms in consideration for participation in any work, collaboration, content creation, services, or experiences under the Jade Ann Byrne California eGirl4Rent Brand (“Project”).

1. CONFIDENTIALITY & NON-DISCLOSURE (NDA)

1.1 Non-Disclosure.
Participant acknowledges that during the Project, they may receive confidential, proprietary, and trade secret information belonging to the Company, including but not limited to:

  • Unreleased content, scripts, concepts, images, videos, branding, and trade secrets.
  • Business operations, marketing strategies, client lists, revenue models, and private communications.
  • Any personal, professional, or proprietary details related to Jade Ann Byrne, her affiliates, team, or partners.

1.2 Obligation of Confidentiality.
Participant shall not disclose, share, reproduce, or distribute any Confidential Information obtained during or after participation, including but not limited to:

  • Leaks, spoilers, behind-the-scenes media, contracts, negotiations, or private conversations.
  • Any details about events, productions, collaborations, or proprietary methods unless explicitly authorized in writing.

1.3 No Public Disclosure.
Participant shall not post, discuss, or share any information related to the Company, its operations, or Jade Ann Byrne on any social media, forums, podcasts, news outlets, personal blogs, or digital platforms unless explicitly authorized.

1.4 Penalties for Breach.
Unauthorized disclosure of Confidential Information will result in legal action, including but not limited to monetary damages, injunctions, and immediate removal from all projects with potential financial liability for damages.

2. COMPLIANCE WITH 18 U.S.C. § 2257 RECORD-KEEPING REQUIREMENTS

2.1 Statement of Compliance.
The Company and all content created under the eGirl4Rent Brand strictly adhere to 18 U.S.C. § 2257 and related federal, state, and local laws regarding the documentation of performers.

2.2 Age Verification & Record Submission.
All on-camera talent, collaborators, or participants engaging in visual media content must provide:

  • Government-issued photo identification (passport, driver’s license, or state ID) to verify legal age (18+).
  • A completed and signed 2257 compliance form (per linked document or updated industry standard).
  • Acknowledgment that their likeness, performance, and related content are legally documented for compliance purposes.

2.3 Records Custodian.
All 2257-compliant records will be maintained by the designated Custodian of Records, available for inspection as required by law.

3. RELEASE OF LIKENESS, IMAGE, AND CONTENT RIGHTS

3.1 Grant of Rights.
Participant grants Jade Ann Byrne and eGirl4Rent the perpetual, irrevocable, worldwide right to:

  • Use, publish, modify, distribute, and monetize Participant’s likeness, name, voice, performance, and image in any form (photo, video, audio, or digital media).
  • Feature Participant in commercial projects, social media, websites, promotional materials, films, music, or any other productions related to the eGirl4Rent brand.
  • Retain full editorial control over all captured media, ensuring it aligns with the Company’s creative vision.

3.2 No Revocation.
Once content is created and released under this Agreement, Participant waives any right to rescind, alter, or restrict usage, except as permitted by law.

3.3 No Unapproved Alterations.
Participant agrees not to digitally alter, manipulate, misrepresent, or use Company-produced content in a misleading manner without express written permission.

4. CONFIRMATION OF DISCRETION & PROFESSIONAL CONDUCT

4.1 No Unauthorized Contact.
Participant agrees not to engage in unapproved interactions, solicitations, or direct outreach to:

  • Clients, associates, collaborators, or business partners of Jade Ann Byrne and eGirl4Rent.
  • Any fan groups, private networks, or social media circles related to the Project without approval.

4.2 No Defamation or Disparagement.
Participant shall not make any false, defamatory, misleading, or disparaging statements about Jade Ann Byrne, eGirl4Rent LLC, its affiliates, employees, partners, or collaborators in any public or private setting.

4.3 No Unauthorized Recording.
Participant shall not record, screenshot, or replicate any conversations, meetings, or project materials without written consent.

4.4 Compliance with Industry Standards.
Participant acknowledges that eGirl4Rent LLC operates within a high-standard professional framework and agrees to maintain appropriate conduct in all interactions, productions, and brand-related activities.

5. LEGAL ENFORCEMENT & REMEDIES

5.1 Governing Law.
This Agreement shall be governed by the laws of the State of California and applicable federal regulations.

5.2 Injunctive Relief.
Any breach of this Agreement shall entitle the Company to seek an immediate restraining order, injunctive relief, and financial damages in court.

5.3 Liquidated Damages.
Participant acknowledges that breach of Confidentiality, 2257 Compliance, or Discretion would cause irreparable harm to the Company, subjecting them to a minimum liquidated damages claim of 420,101.69 USD per breach, plus legal fees.

5.4 Arbitration.
Disputes arising under this Agreement shall be resolved through binding arbitration in California.

6. ACKNOWLEDGMENT & SIGNATURES

By signing below, Participant acknowledges that they have read, understood, and agreed to all terms in this Agreement. They confirm:

✔ They voluntarily grant image, likeness, and content rights.
✔ They understand and accept the strict confidentiality terms.
✔ They comply fully with 2257 requirements.
✔ They acknowledge financial penalties for violations.
